Shu Phua is Tax Counsel at O’Rielly & Roche LLP, where she provides tax advice and counsel to the firm’s law firm clients in connection with the firm’s law firm formation, structuring, and planning practice. With more than 15 years of experience as a practicing attorney — including deep expertise in international and corporate tax law — Ms. Phua advises lawyers and law firms on the tax implications and planning considerations that arise at every stage of law firm life.

TAX COUNSEL FOR LAW FIRM FORMATION AND STRUCTURE

Ms. Phua works closely with the firm’s attorneys and drafting team to ensure that the tax dimensions of law firm formation, restructuring, and planning are identified, analyzed, and addressed from the outset. Her counsel supports the firm’s clients in making informed decisions about entity selection, partner compensation structures, and governance arrangements, with an eye toward both current tax efficiency and long-term planning.

Her tax counsel in connection with the firm’s law firm formation and structure practice includes advising on:

• Entity selection and tax classification for law firm formations, including partnerships, limited liability partnerships, professional corporations, and limited liability companies;
• Tax structuring of partner and shareholder compensation arrangements, including guaranteed payments, distributive shares, and salary-based systems;
• Tax implications of partner admissions, capital contributions, and equity allocations;
• Tax planning for partner retirements, withdrawals, and departures;
• State and local tax considerations for law firms operating across multiple jurisdictions; and
• Tax aspects of law firm dissolutions, wind-ups, and asset distributions.

INTERNATIONAL AND CORPORATE TAX

Ms. Phua brings a broad background in international and corporate tax law to her work for the firm’s clients. Before joining O’Rielly & Roche, she advised companies on cross-border tax planning, corporate tax structuring, and compliance across a range of industries and business models. She applies this perspective to the unique tax challenges facing law firms — particularly firms with partners or operations in multiple states or jurisdictions, and firms evaluating mergers, acquisitions, or other structural transactions with significant tax consequences.

A BACKGROUND ADVISING BUSINESSES

Ms. Phua has served as a fractional general counsel and tax advisor to startups, emerging technology companies, and small and mid-sized enterprises. In that capacity, she advised on corporate formation and governance, mergers and acquisitions, intellectual property matters, and regulatory compliance — giving her practical experience with the kinds of entity structuring, operational, and transactional issues that lawyers and law firms encounter in their own practices. That experience informs her tax advice and allows her to counsel law firm clients with a practical understanding of how tax decisions interact with business objectives and day-to-day operations.
